MINUTES OF THE MEETINGS OF THE BOARD OF DIRECTORS. DENVER, Colo., July 9, 1895. The board was called to order at the East Denver High School, 19th and Stout streets, Denver, Colo., at 11 a. m., July 9, 1895, by President Butler. On motion of Director Kiehle, the reading of the minutes of the last meeting of the Board of Directors was dispensed with, and the minutes as printed in the volume of the proceedings for 1894 were approved. Aaron Gove of Colorado, Chairman of the committee appointed at Saratoga in 1892 to consider and report amendments to the constitution of the National Educational Association relating to conditions of membership, etc., submitted the report of that committee, as follows: To the Board of Directors of the National Educational Association, GENTLEMEN: Your committee, appointed July 14, 1892, to report recommendations for reorganizing the administration of the National Educational Association, beg leave to submit the following report: We recommend that the constitution of the association be amended as follows: Article III.: Strike out sections 1, 2, and 3, and substitute as follows: Section 1. There shall be three classes of members, namely, active, associate, and corresponding. Sec. 2. Teachers and all who are actively associated with the management of educational institutions, including libraries and periodicals, may become active members. All others who pay an annual membership fee of two dollars may become associate members. Eminent educators not residing in America may be elected by the Directory to be corresponding members. The number of corresponding members shall at no time exceed fifty. Sec. 3. All persons who have been members of the association for any two years previous to or including 1895 may be admitted to active membership without payment of the enrollment fee. Any person eligible may become an active member upon application indorsed by two active members and the payment of an enrollment fee of two dollars. All active members must pay annual dues of two dollars, and will be entitled to the volume of proceedings without "coupon" or other conditions. If the annual dues are not paid within the fiscal year, membership will lapse, and may be restored only on payment of the enrollment fee of two dollars. Associate members may receive the volume of proceedings in accordance with the usual "coupon" conditions as printed on the membership tickets. Corresponding members will be entitled to the volume of proceedings without the payment of fees or other conditions. Sec. 4. The names of active and corresponding members only will be printed in the volume of proceedings, with their respective educational titles, offices, and addresses, to be revised annually by the Secretary of the association. Amend Article IV. by striking out section 1 and inserting the following: Section 1. The officers of this association shall consist of a President, twelve Vice Presidents, a Secretary, a Treasurer, a Board of Directors, a Board of Trustees, and an Executive Committee, as hereinafter provided. Further amend Article IV. by striking out section 2 and inserting the following: Sec. 2. The Board of Directors shall consist of a President, First Vice President, Secretary, Treasurer, Chairman of the Board of Trustees, of ten additional members to be elected by the association for a term of one year, or until their successors are chosen, and of such Life Directors as are now (July 12, 1895,) in office. The President, First Vice President, Secretary, Treasurer, and Chairman of the Board of Trustees shall constitute the Executive Committee. Further amend Article IV., section 3, by striking out the word "second" in the second line of the section and inserting the word "third.” Further amend by inserting as ARTICLE V.-REPRESENTATION AND VOTING. Section 1. Each state and territory shall be entitled to one vote in the meetings of the association, and to one additional vote for each twenty active members, or major fraction thereof, enrolled at the previous annual meeting. These votes shall be cast by delegates elected for the purpose by the several State Teachers' Associations. In case any State Teachers' Association shall fail to elect delegates in accordance with the provisions of this section, it shall be the duty of the President of the association to issue a call for a meeting of the active members from such state in order to elect the delegates to which their state is entitled. Said meeting shall be held at the time and place of the meeting of the National Educational Association. No person shall be elected a delegate from any state or territory who is not an active member of the association. State delegations are empowered to fill vacancies in their number. Sec. 2. It shall be the duty of the Secretary of the association to notify the President of each State Teachers' Association each year of the number of delegates to which said state is entitled. Delegates shall bear proper credentials addressed to the Secretary of the association. To further amend as follows: Article V. shall be numbered Article VI. The committee further report that they deem it of great importance that sections 7, 8, 9, and 10, Article IV., be revised to more perfectly define the relations of the Treasurer of the association to the Board of Trustees; but at this time the committee are unable to formulate recommendations, in the absence of the certificate of incorporation and other data essential to such action. They, therefore, recommend that action on this question be deferred until a subsequent meeting. Respectfully submitted, AARON GOVE, Chairman. Committee. On request of President Butler, Mr. Gove explained the necessity for the proposed changes as indicated in the report of his committee. The report was discussed by Directors Kiehle of Minnesota, Buchanan of Missouri, Ramsey of Louisiana, Fitzpatrick of Nebraska, Bardeen of New York, Lyte of Pennsylvania, Goodman of Tennessee, Barnes of California, Smiley of Colorado, MacDonald of Kansas, Bartholomew of Kentucky, and Pritchett of Texas. On motion of Director Anderson of West Virginia, the report was ordered taken up section by section. Secretary Shepard read the first section of the report. President Butler read the sections of the old constitution which it was proposed to amend and explained the effect of the change. Director Gilbert moved the adoption of that portion of the report as read by the Secretary. Motion seconded by Directors Treudley of Ohio and Goodman of Tennessee. In answer to a question by Director MacDonald, President Butler ruled that the proposed change would not affect life membership as now constituted, but would abolish the provisions for future additions to life membership in the association. The motion that the report of the committee, recommending an amendment to Article III., sections 1, 2, and 3, as submitted, and as read by the Secretary, be adopted was unanimously carried. Secretary Shepard then read the portion of the committee's report amending section 1 of Article IV. of the constitution. President Butler read the provision of the constitution as now in force and explained the effect of the change. The report was discussed by Directors Fitzpatrick of Nebraska, Treudley of Ohio, Gove of Colorado, Buchanan of Missouri, Kiehle of Minnesota, and Booth of Ohio. Whereupon the report of the committee was unanimously adopted. Secretary Shepard then read the recommendation to the committee proposing to amend section 2 of Article IV. of the constitution. Director Goodman of Tennessee moved that the word "ten" be stricken out, and the words "no more than one from each state, territory, or district" be substituted in lieu thereof. The amendment of Mr. Goodman was duly seconded and unanimously adopted. That portion of the report as thus amended was adopted, as follows: Further amend Article IV. by striking cut section 2 and inserting the following: Sec. 2. The Board of Directors shall consist of the President of the National Educational Association, First Vice President, Secretary, Treasurer, Chairman of the Board of Trustees, and not more than one additional member from each state, territory, or district, to be elected by the association for the term of one year, or until their successors are chosen, and of such Life Directors as are now (July 12, 1895,) in office. The President of the National Educational Association, First Vice President, Secretary, Treasurer, and Chairman of the Board of Trustees shall constitute the Executive Committee. Secretary Shepard read that portion of the report of the committee amending section 3, Article IV., of the constitution, which proposed amendment was unanimously approved. Secretary Shepard then read the remaining portion of the report of the committee, suggesting an amendment to Article V. of the constitution, entitled "Representation and Voting," etc. DIRECTOR LANE: There is so much involved in this feature of the report that I move it be laid over and referred to the incoming Board of Directors, without recommendation. Motion seconded by Directors Ramsey of Louisiana, Bartholomew of Kentucky, and Pritchett of Texas. The proposition was discussed by Directors Treudley of Ohio, Fitzpatrick of Nebraska, and Buchanan of Missouri. The motion of Mr. Lane, to refer to the incoming Board of Directors, was lost by a vote of fourteen ayes and seventeen nays. Director Lane of Illinois moved a recess until immediately after the close of the general session in the afternoon. Seconded. President Butler directed the report to be printed and delivered to the members at the adjourned meeting of the board. Director Lyte of Pennsylvania moved that the chair officially notify the association of the proposed changes in the constitution of the association at the general session to be held this afternoon. Seconded and carried. Whereupon Director Lane's motion to adjourn until immediately after the close of the general session of the afternoon was put, and the Board of Directors adjourned to meet at the time and place indicated in the motion. MINUTES OF ADJOURNED MEETING. The Board of Directors met pursuant to adjournment at the close of the afternoon general session in the Central Presbyterian church, Denver, at 5 o'clock p. m., Tuesday, July 9, 1895. President Butler in the chair. Further consideration of the report of the Committee on the Revision of the Constitution was taken up and discussed by Directors MacDonald of Kansas, Buchanan of Missouri, and Hadley of New Mexico. Director Taylor of Kansas offered the following: Resolved, That the conduct of the business and affairs of this association shall be intrusted to a Board of Directors consisting of the President of the National Educational Association, First Vice President, Secretary, Treasurer, Chairman of the Board of Trustees, as ex-officio members, one active member from each state and territory of the United States, and one from the District of Columbia, to be designated by the active members of the National Educational Association from each of the said states, territories, and from the District of Columbia, at its headquarters, on the second day of each session, at 5:30 p. m. The Director for each state, or some one designated by him or her, shall act as temporary Chairman of such meeting, and no one shall be entitled to vote who does not hold a certificate of active membership for that particular session of the National Educational Association; and it is further Provided That each state or territory may elect one additional member of the Board of Directors in case its enrollment at the preceding annual meeting of the National Educational Association reached or exceeded 500 active and associate members. |
