managers, in pursuance of the authority herein granted, remains due and unpaid, except by the consent of a majority of said managers first had and obtained; nor shall any share entitle the holder thereof to vote at any general meeting or election, on which any such instalment shall be due and unpaid, for the period of thirty days; and if any such instalment shall remain due and unpaid on any share or shares, for the period of ninety days after the same has been required to be paid, the managers shall have power, after giving thirty days public or private notice of their intention so to do, to the person or persons in whose name the said share or shares may stand on the books of the company, to declare the said share or shares forfeited for the use of the company, or they may sue for and recover, for the use of said company, the amount of such instalment, together with interest, at the rate of twelve per cent. per annum, from the time the same became due and payable.

SECTION 8. Dividends of so much of the profits of the business of said company, as shall appear advisable to the managers, shall be declared at least once in every year, and paid to the stockholders, or their legal representatives, on application, at any time after the expiration of ten days from the period of declaring the same; but they shall in no case exceed the amount of the nett profits actually made and acquired, after deducting all losses and expenses sustained or incurred by said company, so that the capital stock of said company shall never Capital stock not be impaired thereby; and if the managers shall declare and pay any to be impaired. dividend which shall impair the capital stock, they shall be jointly and severally liable for so much of the said stock as may be thus impaired and divided, and the same may be recovered by the said company, or by any person or persons injured or aggrieved, by the making of such dividends, in an action for debt as in other cases.

Duration of charter.

SECTION 9. This act shall continue in force for the period of twentyfive years from the date of its passage: Provided, That the legislature shall have the right at any time to amend, alter or annul the same, in such manner, however, as to do no injustice to the corporators.

AN ACT

To change the name of Tuscarora township, in Bradford county, and for other

purposes.

SECTION 1. Be it enacted by the Senate and House of Representalives of the Commonwealth of Pennsylvania in General Assembly met, and it is hereby enacted by the authority of the same, That from and after the passage of this act, the township of Tuscarora, in Bradford county, shall be called and known by the name of the township of Spring Hill.

SECTION 2. That the road or alley laid out for the use of the lots Borough of Nobounding thereon, extending from Sweede street, along the north-east ristown. side of Benjamin F. Hancock's lot, to Strawberry alley, in the borough of Norristown, be and the same is hereby declared a public road or alley, as fully, to all intents and purposes, as if the same had been laid out by order of the court of quarter sessions of said county, or by the commissioners under the act of one thousand eight hundred and thirtyfour; and the town council shall have the same authority to regulate, and curb and pave the said alley, and keep the same in repair as other streets and alleys in said borough; and the said alley shall be called Middle alley; and the second section of the act passed the eighth day of February, one thousand eight hundred and thirty-four, is hereby repealed.

SECTION 3. That the elections of trustees and other officers of the Madison's academy, in the county of Luzerne, is hereby confirmed and rendered valid; and hereafter the officers of said academy shall be elected the first Tuesday in June, in each and every year.

Making the Beaver Dam run, in the county of Clearfield, a public highway.

SECTION 1. Be it enacted by the Senate and House of Representatives of the Commonwealth of Pennsylvania in General Assembly met, and it is hereby enacted by the authority of the same, That the Beaver Dam run, in the county of Clearfield, shall be and is hereby

declared a public highway: Provided, That all and every person or persons owning lands adjoining said stream, are hereby authorized to erect a dam or dams, for a mill or mills, or other works upon said stream, and keep the same in good repair; and also, to lead off thereby, on his or their own lands, so much of the water of such stream as may be necessary for his or their mill or mills, or other water works: Provided, That the said persons, his or their heirs or assigns, in erecting said dam or dams, or keeping them in repair, shall not obstruct or impede the navigation of said stream, or prevent the fish from passing up the same.

SECTION 1. Be it enacted by the Senate and House of Representatives of the Commonwealth of Pennsylvania in General Assembly met, and it is hereby enacted by the authority of the same, That Hickok and Can- the auditor general is hereby directed to settle the accounts of Hickok

and Cantine, for binding the journals and acts of assembly of the session of 1843, for the desks of the senate and the house of representatives, and the libraries of the two houses, and to draw his warrant on the state treasurer for the amount; that the auditor general be, and he S. C. Jefferies. is hereby authorized and required to settle the account of Samuel C. Jefferies, deceased, late treasurer of Chester county, according to a list of innkeepers for 1842, furnished by J. M. Kinnard, clerk of the court of quarter sessions of the said county; that the auditor general be, and D. M. Stedman. he is hereby authorized to settle the account of D. M. Stedman, sergeant-at-arms, for serving subpoenas in sundry cases, during the present session, according to law, and that the auditor general is hereby authorized to draw his warrant on the state treasurer, in favor of D. M. Stedman, for whatever sum he may find due to the said Stedman.

AN ACT

To authorize the trustees of the Springfield school house, in Chester county, to sell the same, and to build another on a lot near the Methodist meeting house.

SECTION 1. Be it enacted by the Senate and House of Representatives of the Commonwealth of Pennsylvania in General Assembly met, and it is hereby enacted by the authority of the same. That Elija Bull, Jacob Mast, Aaron Lukins, Victor Buchanan and Thomas Bull, trustees of the Springfield school house, are hereby authorized to sell, at private or public sale, and convey a certain school house and lot, situate in the village of Springfield, in the township of West Nantmeal, Chester county; and they are hereby authorized and directed, after paying all just claims against said school house, to appropriate the proceeds in their trust to the purchasing of a lot of ground near the Methodist meeting house, and to build thereon a school house: Provided, Such sale and purchase shall be approved by the court of common pleas of Chester county, and the persons hereby authorized to carry this act into effect, shall give security to the said court for the faithful performance of all the provisions of this act.

AN ACT

Providing for the assessment and payment of damages sustained by Washington Yearsley and Pascal Yearsley, by cutting down a public road in front of their property, in West-town township, Chester county, and for other purposes.

WHEREAS, The Wilmington road, a public highway, long since laid Preamble. out, leading south from the borough of West Chester, in the county of Chester, has recently been graded where it runs along the real estate of Washington Yearsley and Pascal Yearsley, in the township of Westtown: And whereas, The law contains no provision for estimating the damage in such case, and paying the same: Therefore,

SECTION 1. Be it enacted by the Senate and House of Representatives of the Commonwealth of Pennsylvania in General Assembly met, and it is hereby enacted by the authority of the same, That the said Washington and Pascal Yearsley, may apply, by petition, to the court of quarter sessions of Chester county, setting forth the injury which they have sustained by the said grading of the said road, and therefore the said court shall appoint six disinterested persons to view the premises and assess the damages which the said Washington and Pascal may have sustained thereby.

SECTION 2. The viewers so appointed shall make report, in writing, to the said court; and the amount of damages awarded by them, or by a majority of them, shall be paid by the county treasurer, out of the county stock, to the party entitled thereto.

SECTION 3. That the stockholders of the Centre turnpike road company, leading from Sunbury to Reading, shall hereafter, at any election for officers of said company, be entitled to one vote for every share not exceeding ten; one vote for every two shares exceeding ten and not exceeding thirty; one vote for every four shares above thirty and not exceeding one hundred, and one vote for every five shares above that number; and so much of any law as is hereby altered and supplied by this act, be and the same is hereby repealed.

AN ACT

For the relief of Thomas Collins.

SECTION 1. Be it enacted by the Senate and House of Representatives of the Commonwealth of Pennsylvania in General Assembly met, and it is hereby enacted by the authority of the same, That the state treasurer be and he is hereby authorized to pay to Thomas Collins, out of any money in the treasury not otherwise appropriated, such sum as has been awarded to him for damages sustained by him by reason of the suspension and abandonment of the Gettysburg railroad.
