Resolved, That the President and Secretary be authorized and directed to make, under the seal of this corporation, the necessary certificate required by the Act of Assembly and file the same in the office of the Insurance Commissioner, as required by law.

It is further certified that the whole number of shares of the said "The Security Trust Company" is seven thousand (7,000) with a par value of fifty (50) dollars each; that of the said election 5,090 shares were voted either in person or by proxy; that 5,090 voted in favor of the said resolution and none voted against said resolution. On this 18th day of August, A. D. 1896, personally appeared before me a Notary Public for the State and County aforesaid, Clarence E. Cook and George B. Luper, Tellers, duly appointed to conduct an election by the stockholders for or against the proposed amendment to the Charter of the said Company, who being duly sworn according to law, doth depose and say that they held the said election at the chief office of the company in Philadelphia on the 17th day of August, A. D. 1896, being the time and place fixed for holding same, on which thirty

days' previous notice by mail to each stockholder was given, and the votes of said stockholders in favor of or against said amendment were taken, and at the said election there were in favor of the said amendment five thousand and ninety (5,090) shares and against the said amendment no shares.

And we do hereby certify, declare and return that the persons or bodies corporate holding the larger amount of the said stock of the said "The Security Trust Company" have consented to such amendment.

Cook, Secretary of The Security Trust Company, who being duly sworn doth depose and say that he mailed to each of the stockholders of the said The Security Trust Company on the 15th day of July, 1896, notice of an election of the stockholders to be held on the 17th day of August, of which the following is a true and correct copy:

You are hereby notified that a special meeting of the stockholders of The Security Trust Company will be held at the office of the Company, 1001 Chestnut Street, Philadelphia, at II o'clock A. M. on the 17th day of August, 1896, for the purpose of voting upon the following proposed amendments to its charter:

Ist: To change its corporate title from the The Security Trust Company to 'The Security Trust and Life Insurance Company.'

2nd: To strike out the words 'fire, marine and inland' wherever the same may occur in said charter."

ARTICLE I.

SECTION 1.-Date of Annual Meeting. The annual meeting of the Stockholders shall be held at the office of the Company on the third Tuesday of January, at 12 o'clock, noon.

Quorum. At all meetings (annual or special) the stockholders present shall constitute a quorum.

SEC. 2.-Notice to Stockholders. Written or printed notice of such meeting shall be mailed to the last recorded address of each stockholder, as furnished to the Secretary, at least ten days before each meeting.

SEC. 3-When Entitled to Vote. No stockholder shall be entitled to vote, unless the share or shares shall have been standing in his or her name on the books of the Company for thirty days previous to said election.

SEC. 4.-Process. Stockholders may vote by proxy, if said proxy be executed not more than twenty (20) days previous to the meeting at which they are to be used.

SEC. 5.-Appointment of Tellers. The Chairman, at the annual meeting, who shall be elected by the stockholders present, shall appoint three of their number to conduct and regulate the election of fifteen Directors from among the stockholders of the Company, to serve for one year or until their successors have qualified.
