vernor, Deputy Governor and Directors fhall from time to time find wanting and neceflary for the Purposes of the Undertaking, fo that no fuch Call do exceed the Sum of Twenty Pounds, for or in refpect of any one Share of Fifty Pounds, and fo that no Call or Cails be made but at the Distance of Five Calendar Months at least from each other, and that the Sum or several Sums of Money, fo to be called for, fhall be paid into the Hands of the Treasurer to the faid Body Corporate, to be iffued and applied by virtue of an Order or Orders given to him for that Purpofe; and that fuch Order or Or. ders fhall be figned by the Governor or Deputy Governor for the time being and Three of the Directors at least present, or by Five of the Directors prefent at fome Meeting of the Governor, Deputy Governor and Directors duly held, and that the faid feveral Sums of Money fo called for, fhall be paid at fuch Time and Place, as fhall be appointed by fuch General Meeting of the faid Body Corporate: of which Time and Place, One Calendar Month's Notice at least fhall be given in the London Gazette, and in Four or more of the faid daily Newspapers, published in London or Middlefex, or in fuch other manner as the faid Governor, Deputy Governor and Directors, fhall at any Meeting direct and appoint in that behalf; and that if In Default of any Perfon or Perfons fhall neglect or refufe to pay his, her or their Payment of Calls, Proportion of the Money fo to be called for, during the Space of Shares to be forThree Calendar Months, next after the Time appointed for Payment thereof, then in fuch cafe, such Perfon or Perfons, fo neglecting or refufing, fhall abfolutely forfeit all his, her or their Share, Part and Interet in the faid Undertaking and Capital Stock, and all Profit and Advantage thereof, and all Money theretofore advanced by him, her or them, on account thereof, to and for the Ufe and Benefit of the faid Corporation; and that all Shares which shall or may be fo forfeited, fhall or may be fold at a publick Sale for the most Money that can be gotten for the fame, and the Produce thereof fhall go to and make Part of the Capital or Joint Stock of the faid Body Corporate; but that no Advantage fhall be taken of fuch Forfeiture of any Share in the faid Undertaking as aforefaid, until after Twenty one Days Notice fhall be given by the Treasurer or Clerk but Notice first to the faid Body Corporate, to the Owner or Owners thereof, or tɔ be given. Notice in Writing left at his, her or their ufual or laft Place of Abode; nor unless the fame fhall be declared to be forfeited, at the first Meeting of the Subfcribers and Proprietors, which fhall be held not earlier than Two Months next after the faid Forfeiture fhall happen; and that every fuch Forfeiture fo to be declared, thall be an abfolute Indemnification and Discharge to and for the Subscriber or Subscribers, Proprietor and Proprietors, or their Executors, Administrators, Succeffors and Affigns fo forfeiting, against all Actions, Suits and Profecutions, for any Breach of Contract or other Agreement, between fuch Subfcriber or Subfcribers, Proprietor or Proprietors, his, her or their Executors, Administrators, Suc. ceffors or Affigns, and the faid Body Corporate with regard to the future carrying on and Management of the faid Undertaking.

XX. And be it further enacted, That in the faid Charter for efta. Executors, &c. blishing fuch Corporation, it fhall be provided, that if any Perfon indemnified in or Perfons, Subscriber or Subfcribers, Proprietor or Proprietors of paying Calls. any Share or Shares in the faid Undertaking, fhall die before Pay ment shall have been made by him or her, of the full Sum to be

certain Cafes,

called for, or in refpect thereof as aforefaid, without having made any fufficient Provifion, by Will or otherwife, how fuch Share or Shares fhall be difpofed of, and how the future Calls in respect thereof fhall be answered; that then, and in fuch Cafe, the Executors or Administrators of fuch Proprietor, and the Trustees or Trustee, Guardian or Guardians of any Infant or other Perfon, entitled to the Eftate and Effects of fuch Subfcriber or Subscribers, Proprietor or Proprietors, fhall be indemnified againft fuch Infant, and all other Perfons whomfoever, for paying any Money which shall be called for as aforefaid, in refpect of the Share or Shares of such deceased Proprietor.

XXI. And, in order that where the original Subfcriber of One or more Share or Shares in the faid Undertaking fhall die, become infolvent or bankrupt, or go out of the Kingdom, or fhall transfer his Right and Intereft to fome other Perfon, and no Register fhall have been made of the Transfer thereof, with the Clerk to the faid Corporation, it may not be in the Power of the faid Body Corporate, or any Officer acting for the faid Body Corporate, to know who is the Owner or Proprietor of fuch Share or Shares, in order to give him, her or them, their Executors, Adminiftrators, Succeflors and Affigns, Notice or Notices of Calls to be made on fuch Share or Shares, and to maintain any Action or Actions against him, her, or them, their Executors, Adminiftrators, Succeffors and Affigns, for the Recovery of the fame, or for the Purpose of fafely paying to him, her or them, their Executors, Administrators, Succeffors and Affigns, the Intereft or Dividends to which he, fhe or they may be For afcertaining entitled by virtue thereof, Be it further enacted, That in the faid the ProprietorCharter for eftablishing fuch Corporation it fhall be provided, that fhip of Shares in in all the Cafes aforefaid, where the Right and Property in one or more Share or Shares in the faid Undertaking shall pass from the original Subfcriber or Subfcribers, or any Proprietor or Proprietors thereof, to any other Perfon or Perfons, by any other legal means than by a Transfer or Conveyance thereof, in the Form and Manner to be fpecified in fuch Charter, an Affidavit fhall be made and fworn to by Two credible Perfons, before one of His Majesty's Juftices of the Peace, ftating the manner in which fuch Share or Shares hath or have paffed to fuch other Perfon or Perfons, their Executors, Administrators, Succeffors and Affigns, and that fuch Affidavit fhall be tranfmitted to the Clerk to the faid Body Corporate, to the intent that he may enter and regifter the Name or Names of every fuch other Proprietor or Proprietors in the Regifter Book, or Lift of Subfcribers and Proprietors to the faid Undertaking, to be kept in the Office of the faid Clerk; and that in all or any of the faid Cafes, it fhall be lawful for the Subfcribers and Proprietors at any General Meeting, after Three Calendar Months Notice shall have been given by the faid Treasurer or Clerk to the Owners or Perfons claining by fuch Affidavit to be Owner or Owners thereof, and that fuch Perfon or Perfons, their Executors, Adminiftrators, Succeffors and Affigns, fhall not have paid his, her, or their Proportion of the Money becoming payable by virtue of any Call or Calls, and after Notice thereof fhall have been given Three Times, at the Intervals of Ten Days between each Advertisement, in fome Four Newspapers circulated in the faid County of Middlefex and City of London, to declare at any General Meeting the fame Share or Shares to be far

feited, and that in fuch Cafe the fame fhall be and become forfeited, and be fold and difpofed of in fuch manner as the faid Subscribers and Proprietors at any Meeting or Meetings fhall direct, or otherwise become confolidated in the General Fund of the faid Body Corporate.

XXII. And be it further enacted, That in fuch Charter for efta- Shares may be blishing fuch Corporation it shall be provided, that it fhall be lawful transferred. for the feveral Subfcribers and Proprietors of the faid Undertaking, their Executors, Adminiftrators, Succeffors and Affigns, to fell and transfer any Share or Shares of which they shall respectively be polfeffed, and every such Transfer fhall be in the Form and to the Effect following:

And that every fuch Transfer shall be registered in the Books of the Transfers to be faid Body Corporate, and a Copy of fuch Regifter, figned by the registered. Clerk or other Officer of the faid Body Corporate, duly authorized thereto, fhall be fufficient Evidence of every fuch Sale and Transfer, and received as fuch in all Difputes and in all Trials before any Court in the United Kingdom of Great Britain and Ireland; and that until fuch Transfer fhall be fo regiftered in the Books of the faid Body Corporate as aforefaid, no Purchafer or Purchasers of any Share or Shares aforefaid, their Executors, Adminiftrators, Succeffors and Affigns, fhall have any Part or Share in the faid joint Stock and Undertaking, or in the Profits and Advantages thereof, nor fhall receive any Intereft or Dividend for or in refpect of fuch Share or Shares fo purchased, nor be entitled to vote at any Meeting or Meetings, as Subfcriber or Subscribers, Proprietor or Proprietors of the faid Undertaking.

XXIII. And be it further enacted, That the faid Corporation Corporation not fhall not borrow, or take up by way of Loan, any Sum or Sums of toborrow Money. Money whatsoever, other than by a Subfcription for Shares in Manner and to the Extent hereinbefore directed.

XXIV. Provided always, and be it further enacted, That in the faid Charter it fhall be provided, that the faid Body Corporate fhall, upon due and reafonable Application made to them for that Purpose, on the Behalf of any Parish or Parishes, or Parts of any Parish or Parishes, or extra-parochial Place or Places, within the Cities of London and Weflminfter aforefaid, the Borough of Southwark, Suburbs, Precincts and Liberties of the fame Cities undertake to furnish, and fhall furnish fuch Parish or Parishes, or fuch Parts of any Parish or Parishes refpectively, with a fufficient Supply of Inflammable Air, for the Purposes of lighting the faid Parish or Parishes, or Part or Parts thereof, with a ftronger and better Light, and at a cheaper and lower Price, all Expences included, than fuch Parish or Parishes, or Part or Parts of Parishes, could be fupplied with, if lighted in the usual manner, during the Existence of the Contract which they may enter into with the faid Corporation: Provided alfo, that no

Corporate to expend any greater Sum or Sums of Mouey for the
Purposes to be mentioned or expreffed in the faid Charter, than the
Members of the faid Corporation fhall be thereby, or by this A&t be
authorized to fubfcribe or contribute for the Purposes of the faid
Undertaking, nor to contract with any such Parish or Parishes, or
Place or Places, for a lefs Term than Fourteen Years, but at the
Option of the faid Body Corporate.

XXV. And be it further enacted, That every Contract or Agree. ment entered into by any Parish or Parishes, or Parts of Parishes, with the faid Corporation, fhall contain a Claufe providing that the faid Contract fhall be null and void, if at any time the Price charged for Inflammable Air ufed in lighting the Parifh fhall be greater than what at the time fhall be paid for lighting any Part of London, Weftminfter or Southwark, with Oil in the ufual manner.

XXVI. Provided always, and be it further enacted, That the said Body Corporate fhall not under any Pretence or Pretences, or by any Ways or Means contract to fupply, or fhall be permitted to fup ply with fuch Inflammable Air as aforefaid, for the Purpofe afore faid, any Parish or Parishes, or any Part or Parts of Parishes, that fhall not lie or be fituate within the Cities of London or Westminster, or one of them, or the Borough of Southwark, or the Suburbs, Liberties or Precincts of the faid Cities or Borough refpectively or adjacent thereto.

XXVII. And be it further enacted, That the faid Body Corpo rate fhall not, by any Ways or Means, or under any Device or Devices, fupply or undertake to fupply any Dwelling Houfe or Houfes, Manufactories, publick or private Buildings whatever, with the faid Inflammable Air, for any of the Purposes aforefaid, except only fuch Houfe or Houfes, Manufactories or Buildings, which can be fupplied from fuch main Pipe or Pipes as fhall be laid down by the faid Body Corporate, for the Purposes of supplying any Parish or Parishes or Streets, or Part or Parts of any Parish or Parishes with fuch Inflammable Air, for the Purposes aforefaid.

XXVIII. And be it further enacted, That the faid Body Cor porate fhall not by any Ways or Means, or under any Pretence or Pretences, contract to fell and furnish, or fhall fell or furnish any Stove, or Pipe or Pipes, or Apparatus or Machinery of any De scription whatever, for the Purpose of conveying, or whereby fuch Inflammable Air as aforefaid, or any Quantity thereof may be conveyed into any Dwelling Houfe or Houses, Manufactories, publick or private Buildings, for the Purpose of lighting the fame.

And be it further enacted, That in the faid Charter, it Majefty may de- fhall be declared, that if at any time hereafter during the Continuclare Charter ance of the faid Body Corporate, the faid Body Corporate fhall omit, neglect or refufe to carry into Effect and fulfil the Provifion hereby directed to be inferted in the faid Charter, that the faid Body Corporate fhall, upon due and reasonable Application made to them for that Purpose, on the behalf of any Parish or Parishes, or Parts of any Parish or Parishes, extra-parochial Place or Places, Part or Parts thereof, within the faid Cities of London and Westminster, Borough of Southwark, their Suburbs, Precincts and Liberties refpectively, undertake to furnish fuch Parish or Parishes, or fuch Parts, or fuch extraparochial Place and Places refpectively with a fufficient

Supply of Inflammable Air for the Purposes of lighting the faid Parish or Parishes, or Part or Parts thereof, or fuch extra-parochial Place or Places refpectively, Part or Parts thereof, with a ftronger and better Light, and at a cheaper and lower Price than fuch Parish or Parishes, or Part or Parts of Parishes, extra-parochial Place or Places, Part or Parts thereof, fhall have usually been fupplied with under the Stipulations and to the Extent in the faid Charter to be expreffed, or fhall in any manner act contrary to or in violation of the Provifion to be inferted in the faid Charter: that the faid Body Corporate shall not under any Pretence or Pretences, or by any Ways or Means contract to fupply, or fhall be permitted to fupply with fuch Inflammable Air as aforefaid, for the Purposes aforefaid, any Parish or Parishes, Part or Parts of Parishes, extra-parochial Place or Places, or Part or Parts of fuch extra-parochial Place or Places, that shall not lie or be fituate within the Cities of London and Weftminfler, or one of them, or in Parts adjacent to the faid Cities, or within the Town and Borough of Southwark, in the County of Surrey, or shall in any Manner or Refpect act contrary to or in viola tion of the Provifion to be made in the said Charter; that the faid Body Corporate shall not by any Ways or Means, or under any Device or Devices, fupply or undertake to fupply any Dwelling Houfe or Houfes, Manufactories, publick or private Buildings whatever with the faid Inflammable Air, for any of the Purposes aforefaid, except only fuch Houfe or Houfes, Manufactories or Buildings, which can be fupplied from fuch Main Pipe or Pipes as fhall be laid down by the faid Body Corporate, for the Purpose of fupplying any Parish or Parishes, Part or Parts of any Parish or Parishes with fuch Inflammable Air for the Purpose aforefaid, or shall in any Manner or Respect act contrary to or in violation of the Provision to be con tained in the faid Charter; that the faid Body Corporate fhall not by any Ways or Means, or under any Pretence or Pretences contract to fell or furnish, or fhall fell and furnish any Stove or Pipe or Pipes, or Apparatus or Machinery of any Description whatever for the Purpose, or whereby fuch Inflammable Air as aforefaid, or any Quantity thereof may be conveyed into any Dwelling Houfe or Houfes, Manufactories, publick or private Buildings, for the Purpofe of lighting the fame, it fhall in any or either of the said Cafes be lawful for His Majefty his Heirs or Succeffors, by any Letters Patent under the Great Seal of Great Britain, to revoke and make void the faid Corporation, and all the Powers, Privileges, Benefits and Advantages to be granted to fuch Corporation as aforefaid, and thereupon the fame fhall determine and become void accordingly.

XXX. And whereas the faid Inflammable Air or Gas cannot be Power in certain ufed for lighting the publick Streets, Ways or Paffages as aforefaid, Cafes to break unless the faid Air or Gas be conveyed by means of Pipes to be up the Soil and properly laid for that Purpofe; Be it further enacted, That if at any Streets, &c. for time after the paffing of this Act, any Commiffioners or Trustees, laying Pipes, & or other Perfons, Bodies Politick or Corporate, in whom, by any Act or Acts of Parliament, or otherwife, the Care, Superintendence and Controul of lighting the publick Streets, Highways, Lanes, Paffages, or any Part thereof, in the Cities of London and Weftminfler, or within the Town and Borough of Southwark, in the County of Surrey, fhould think it fit and convenient to contract with the faid Body Corporate, or with any other Perfon or:
