SEC. 3. That the board of trustees, shall have power to Board of trus appoint a president, secretary and treasurer, and such agents as they may deem necessary, and shall fill all vacancies as they may occur in their own body, by resignation, death, or neglect for more than one year to attend to the duties of trustee; also to appoint such officers, professors and teachers, as the institution and government of the institution shall require, and prescribe their duties, and remove any of them for sufficient reasons: also to prescribe and direct the course of study, to be pursued in the institution and its departments.

SEC. 5. That the board of trustees shall faithfully apply all funds by them collected or received, according to their best judgment, in erecting suitable buildings, supporting the necessary officers, instructors, and servants, in procuring books and apparatus necessary to the success of the institution. Provided, nevertheless: That in case any dona- Proviso. tion or bequest be made for particular purposes, which accord with the design of the institution, and the corporation shall receive and accept the same; eyery donation or bequest thus made shall be applied in conformity to the conditions or designs expressed by the donor.

SEC. 6. That the trustees of the corporation, shall always, and all other agents when required, before entering upon the duties of their appointment, give bond, for the security of the corporation, nl of the public, in such penal sum, and with such sureties as the corporation shall ap

prove.

SEC. 7. That the said institution shall be open to all denominations of christians, and the profession of any religious faith shall not be required of those who become

students. Any person, however may be suspended or ex-
pelled from said institution, whose habits are idle or vi
cious, or whose moral character is bad.

Chapter 36.

An Act to incorporate the Janesville Collegiate Institute.
The people of the State of Wisconsin, represented in
Senate and Assembly, do enact as follows:

SECTION 1. Hiram Foote, Orin Densmore, Wm. A. Lawrence, S. A. Martin, J. J. R. Pease, J. H. Budd, J. B. Crosby, Thomas Armstrong, E. L. Harris, J. F. Wilard, Andrew Palmer, O. N. Gorton, W. H. Douglass, O. J. Dearborn, G. S. Dodge, and their successors shall be, and they are hereby created and constituted a body politic and corporate, to be styled "The Janesville Collegiate Institute," to remain in perpetual succession, and shall be trustees of said corporation until their successors are duly elected and qualified; the design and purpose of said corporation being to found, establish and maintain in the city of Janesville, an institution of science, literature, and learning of the highest order, embracing an academical and preparatory department of instruction.

SEC. 2. That the board of trustees shall consist of twenty-one members-one of whom shall be chosen to act as president of the board, until a collegiate faculty shall have been duly chosen, and organized as hereinafter provided, then the president thereof shall be ex-officio the twenty second trustee, and president of the board. The trustees shall be divided inte three classes, seven in each class, and the office of the trustees of the first class shall expire at the time of the first annual meeting of the board thereafter, and the office of trustees of the second class, shall expire at the time of the second, and the office of trustees of the third class, at the time of the third annual meeting of the board; and the office of the trustees of one class shall expire annually thereafter in rotation. The board shall have power at any annual meeting to reduce the num

ber of trustees to not less than fifteen, to be classified in the same manner as above provided.

SEC. 3. The first meeting of the board of trustees shall Meeting of be held at such time and place as may be designated in a trustees. call, signed by a majority of the corporate members, of which due notice shall be given by publishing the same for two weeks previous thereto, printed in said city, and afterwards during the year, on their own adjournment and in such manner as may be prescribed by the by-laws of said board. The trustees shall appoint at their first meeting an annual meeting of said board within one year thereafter, and at each annual meeting, the time and place of the annual meeting of the board for the next subsequent year, shall be appointed until the time of the annual meetings of the board shall be established by the by-laws of said corporation, and a majority of members of the board of trustees when duly assembled pursuant to call or adjournment shall constitute a quorum for the transaction of bus. iness, and any less number may adjourn from time to time. All meetings of the board shall be held in the city of Janesville, at such place as a majority shall deem proper.

SEC. 4. And any person who shall have made any such subscription, donation, bequest or endowment, which has been received by the board, may institute any proper proceedings in any court to inquire into the manner in which said board has executed its trust or to prevent or remedy a violation thereof.

SEC. 6. that every donation, subscription and bequest made to the institution, be applied in conformity with the conditions on which the same was made; to make all necessary by-laws for the due order of their own affairs, and for the government of the institution; to fill all vacancies in their own bodies, which may from time to time occur; to remove members of their own body for long continued neglect of duty; to confer such degrees and other honors upon those whom they deem qualified, and worthy to receive the same, as are usually conferred by similar institutions in the United States; to elect a president who shall be chief executive officer of the institution, and head of the collegiate faculty; to elect such professors, tutors, teachers and other officers, as in their opinion the interest of the institution may demand; to define the duties of all officers thus elected, and on sufficient cause to suspend or remove them from office; to determine the amount of all salaries paid or to be paid by the institution; to regulate the course of instruction, and prescribe the books, authorities and appartus to be used in the various departments, and to have such further general powers not herein specified, and not inconsistent with the letter and spirit of this act, as are granted to coporations, under the name of general provisions, in chapter fifty-four of the revised statues of this state.

SEO. 7. No religious test shall ever be required from any officer, teacher or student, nor shall any sectarian doctrine ever be taught therein.

SEO. 8. At each annual meeting, trustees shall be elected to fill the vacancies caused by the classification, limitation, or any other cause, to serve three years, or if elected, to fill a vacancy caused by the death, resignation or expulsion of any trustee, to serve the remainder of the term for which such trustee was elected.

SEO. 9. This act shall be liberally construed for the purposes therein contemplated, and may be altered or amended by any further legislature.

SEO. 10. This act shall take effect from and after its passage.

Chapter 37.

An Act to authorize the city of Green Bay to pay the subscription to the capital stock of the Green Bay and Depere plank rond, subscribed by the borough of Green Bay to said road, by their committee Baron S. Doty, D. Cooper Ayres and George O. Haywood.

The people of the State of Wisconsin, represented in Senate and Assembly, do enact as follows:

SECTION 1. The mayor and common council of the city Green Bay and of Green Bay are, from and after the passage of this act, Depere plank authorized and empowered to issue the bonds of the said road company. city, payable to the Green Bay and Depere plank road company, of five hundred dollars each, payable in twenty years from the date thereof, drawing interest at the rate of eight per cent. per annum, payable semi-annually, in payment of the sum of twenty thousand dollars, subscribed by the president and trustees of the borough of Green Bay, by their committee, Baron S. Doty, D. Cooper Ayers and George O. Haywood, to the capital stock of the said Green Bay and Depere plank road company. SEC. 2. The said bonds accompanied by the proper terest, warrants or coupons, shall be signed by the mayor, and countersigned by the clerk of the said city of Green Bay, and the bonds shall be in the following form, to wit:

The city of Green Bay acknowledges to be indebted to the Green Bay and Depere plank road company in the sum of five hundred dollars, payable to the order of the president and secretary of said company, at the Bank of New York, on the day of A. D. 18 and also, interest thereon at the rate of eight per centum per annum, payable semi annually from the date thereof, until the said principal sum shall be paid on the presentation of the proper annexed interest warrant at the said bank; and the said city, also agrees to transfer to the holder hereof at any time before said principal shall fall due, on delivery of this obligation, and of the unpaid interest warrants to the Mayor of said city, twenty shares of twenty-five dollars each in the capital stock of the Green
