mode prescribed by the general laws of the State for condemning lands, materials, &c., for the construction of turnpike roads, bridges, &c.

§ 9. When a stockholder shall have made full payment of his stock, it shall be the duty of the president, over his signature, to issue certificate of stock to all persons entitled to the same, attested by the secretary of said company.

§ 10. This act shall take effect from and after its pas

sage.

CHAPTER 1431.

AN ACT prescribing a penalty on the Mt. Sterling and Maysville Turnpike Road Company for collection of illegal tolls.

Be it enacted by the General Assembly of the Commonwealth of Kentucky:

§ 1. That if the Mt. Sterling and Maysville Turnpike Road Company (approved January 29, 1836, section eighteen) shall demand and collect toll from any person passing or repassing from one part of his farm to another, or to or from any funeral or neighborhood church, or from militiamen on days of training or attending courts-martial, or from electors going to and returning from elections, or from grand juries going to or returning from court, or from any person going to or returning from mill on horseback with single bag, said Mt. Sterling and Maysville Turnpike Road Company shall be deemed guilty of a misdemeanor, and shall be liable to a penalty for each such offense of not less than $25 and not exceeding $100, recoverable before any court of competent jurisdiction.

§ 2. Prosecutions under this act shall be in the name of the Commonwealth of Kentucky, and the proceeds of all fines imposed by virtue of this act shall be paid to the common school commissioner of the county in which said LOC. L., VOL. II-63

fines are imposed for the benefit of the school fund of said county.

§ 3. This act shall take effect and be in full force from and after its passage.

CHAPTER 1432.

AN ACT for the benefit of Wm. Brockman, of Louisville,

Be it enacted by the General Assembly of the Commonwealth of Kentucky:

§ 1. That the Auditor of Public Accounts be, and he is hereby, authorized to draw his warrant on the Treasurer in favor of Wm. Brockman, of Louisville, for the sum of fifty dollars, payable out of any money in the Treasury not otherwise appropriated, it being for license improperly paid by him.

§ 2. This act shall take effect from and after its passage.

CHAPTER 1433.

AN ACT to incorporate the Guthrie City and Eikton Turnpike Road Com

pany.

Be it enacted by the General Assembly of the Commonwealth of Kentucky:

§ 1. That a company be, and is hereby, incorporated, for the purpose of building a turnpike road from Guthrie City, in Todd county, Kentucky, to and beyond Elkton, in the same county, to a point called Albuder's Hill, under the name and style of the Guthrie City and Elkton Turnpike Road Company; and by that name and style shall have perpetual succession, sue and be sued, and be a body-politic and corporate.

2. The capital of said company shall be divided in shares of fifty dollars each; and the entire capital stock shall not exceed sixty thousand dollars.

§3. Said corporation shall have all the powers and privileges conferred on similar corporations under the

General Statutes of Kentucky, and the toll charged shall be as therein provided.

§ 4. The following persons are hereby appointed commissioners to receive subscriptions of stock to said company, to-wit: P. O. Duffy, W. F. Taylor, John M. Roach, T. P. Norris, A. F. Rogers, Frank M. Duffy, S. H. Perkins, Baxter Porter, W. L. Reeves, H. G. Petrie, and S. H. Sullivan; and they may each open books and receive subscriptions at any time and place after the passage of this act, and so continue until enough is subscribed to complete said road; and may take subscriptions on the following condition or obligation expressed in writing, viz: We, whose names are hereunto subscribed, do promise to pay to the Guthrie City and Elkton Turnpike Road Company the sum of fifty dollars for each share of stock in said. company set opposite our names respectively, in such manner and proportions, and at such times as shall be required by said company.

§ 5. When the commissioners think a sufficient quantity of stock has been taken to justify a commencement of work, they, or each of them as may act, shall call a meeting of the stockholders, and hold an election for a president and four directors for one year, or until their successors are elected, and thereupon work on said road may commence under their superintendence and control.

§ 6. The president and directors shall appoint one of their number treasurer, who shall execute bond, with approved security, payable to the Commonwealth, for the use of said company, and be responsible for all the company's moneys received by him, and shall pay out the same as provided by the president and directors, and keep an account of all his transactions. Said bond shall be filed in the Todd county clerk's office.

§ 7. The board of directors, consisting of the president and four directors, shall keep a fair record of their proceedings, which shall be open to the inspection of stockholders.

§ 8. The board of directors shall have all the powers, rights, and privileges, and may do all the acts and things necessary for letting, contracting, completing, and man

aging said turnpike road, and locate the same, and determine its width, and whether there shall be a share pike, and the grade on such route as they deem proper, subject to section one of this act.

§ 9. That all the provisions of an act, entitled "An act for the benefit of Allensville voting precinct, in Todd county," approved February 23d, 1876, and the amendment to said last named act, approved April 8th, 1878, and all the provisions of an act, entitled "An act to incorporate the Turnersville and Vandeveer's Turnpike Road Company, in Lincoln county," approved March 16th, 1876, and all the provisions of an act to provide for the building of turnpike roads in Todd county, Kentucky. and to authorize the different magisterial districts or election precincts therein to vote a tax for that purpose, and all amendments that may be made to the last act at the present session of this General Assembly, are made a part of this act, so far as they can be made applicable to this road and company, and are not inconsistent with the provisions of this act.

CHAPTER 1435.

AN ACT to amend an act, entitled "An act to renew and amend the charter of the Camdenville and Van Buren Turnpike Road," approved April 22d, 1880, changing the title of said act, and legalizing the subscription of the Anderson county court to the capital stock of the company thereby and hereby created.

WHEREAS, At the present session of this Legislature there was passed an act approved April 22d, 1880, entitled An act to renew and amend the charter of the Camdenville and Van Buren Turnpike Road," when it was intended to amend the charter of the Lawrenceburg and Camdenville Turnpike Road Company, number two, which was to enable citizens of Anderson county to form a company and build and complete a turnpike road from the present constructed terminus of the Lawrenceburg and Camdenville Turnpike Road, number two, or near that point, to Van Buren; and whereas, the Anderson county

court at its regular April term, 1880, subscribed stock to the extent of one thousand dollars per mile for the building and completion of said road to Van Buren, when said act had not been approved; and whereas, doubts may arise as to the legality of said subscription; for remedy thereof,

Be it enacted by the General Assembly of the Commonwealth of Kentucky:

§ 1. That the title of said act is hereby changed to an act to amend the charter of the Lawrenceburg and Camdenville Turnpike Road Company, number two; and the said subscription of the Anderson county court made at its April term, 1880, is hereby legalized and made binding. on said court and county, and said subscription is declared according to its terms to inure to and to have been made to the company created by this and the act to which this is an amendment, and is made legal in all respect as though it had been subscribed after the passage of this act; and all orders of the Anderson county court relative to said turnpike road company styled the Lawrenceburg and Camdenville Turnpike Road, number two, or the original company, as well as the levy made pertaining to this company, are legalized and made valid.

§ 2. That the powers, duties, and privileges conferred on said Lawrenceburg and Camdenville Turnpike Road Company, number two, or the original company by legis lative act, or by the orders of the Anderson county court under the provision of chapter 103 of Revised Statutes of Kentucky, are hereby conferred on the company created by this and the act to which this is an amendment. §3. That this act' be in force from its passage.
