away any stone or rock or gravel or other material necessary for the building or repairing of said road.

8. The president and directors shall give notice, in such manner as they may deem best, of the amount of the call on each share of the stock, and of the time and place of payment; and if any stockholder or subscriber to the capital stock of said company shall neglect his amount of stock so called for, for the space of six months after said notice, his said stock shall be forfeited to this company together with its increase. No stockholder shall vote at any election, or be entitled to any rights as a member of said company, until the amount thus called shall be paid.

§ 9. The president and directors shall appoint a treasurer, secretary, gate-keeper, and such other officers as they may, from time to time, think proper; and may require bond, with security, of them to faithfully discharge their duties as such officers; to hold their office at the pleasure of the directors of said company.

§ 10. That the written or printed certificate of the secretary, countersigned by the president, shall be evidence of the ownership of stock in this company, and the same may be sold and transferred on the books of the secretary, in person or by agent or attorney, when all arrearages are paid, and not until then.

§ 11. The president, or any two directors, may call meetings of the directors or stockholders at such time and place as they may think best for the transaction of business, or to any lawful act in effecting the object of this

act.

§ 12. The officers of this company shall receive such compensation for their services as the stockholders may agree upon.

§ 13. The president and board of directors may make such by-laws, rules and regulations, for the government of said company as they, or a majority of them, may think best.

§14. This act shall take effect and be in force from its passage. Approved April 22, 1880.

CHAPTER 1069.

AN ACT to empower the county court of Henderson county to take stock in turnpike or gravel roads in Henderson county.

Be it enacted by the General Assembly of the Commonwealth of Kentucky:

§ 1. That the Henderson county court, composed of the county judge and the justices of said county, or a majority of them, be, and they are hereby, authorized and required to subscribe stock for said county in any company organized for the purpose of building turnpike or gravel roads in said county, to an amount not less than ten nor more than fifteen thousand dollars to each company or road; and the said county shall have all the rights and privileges of a stockholder, and the said court shall appoint one or more persons to represent the county in all meetings of the stockholders in any such company.

§ 2. That the said court shall have the power and authority, and they are required to issue the bonds of the county, for such amount or amounts as may be subscribed under section one of this act. Said bonds shall be of such denomination, and shall be made payable at such time and place, as the said court may determine, but with the privilege to redeem same at the expiration of five years from their date, and shall bear such rate of interest, not exceeding six per cent. per annum, payable semiannually, as said court may deem best.

§3. That said bonds, when issued, shall be signed by the county judge and countersigned by the county clerk, with the county seal attached, and the coupons for the semi-annual interest shall be signed by the county clerk; and the said bonds, to the amount that may be subscribed to any company, shall be delivered to the company, or the bonds may be sold and the money paid to the company by the said court as they may deem best, at the times and in the manner provided in the articles of association of said company; and the said county shall receive from such company a certificate of stock for the amount thus subscribed and paid in.

§ 4. That in no event shall the subscription above provided for be made, or the said bonds be issued, until there has been subscribed to any such company or road by good and solvent persons, at least the sum of ten thousand dollars of stock in such road, and when that amount shall have been subscribed by said parties, it shall be the duty of the county judge of said county, upon the request of said subscribers or any of them, to convene the said justices for the purpose of carrying out the provisions of this act; and a register of the bonds issued under this act shall be kept by the county clerk.

5. That when the bonds as hereinbefore provided for are issued, it shall be the duty of the said court to annually levy and cause to be collected, as other county revenues are now collected, an ad valorem tax of not exceeding twenty five cents on the one hundred dollars' worth of all the property subject to taxation for county purposes, which said amount so collected, together with the dividends from such road or roads as may be built, shall be used for the purpose of paying off the interest and principal of said bonds.

§ 6. It shall be the duty of the judge of the Henderson county court to cause the sense of the qualified voters of Henderson county to be taken upon this act at the next general election held in said county, and for that purpose there shall be opened upon the poll-books, at each voting place, a column headed "For subscription to turnpike or gravel roads," and another column headed "Against subscription to turnpike or gravel roads;" and should ጸ majority of those voting at said election for and against such subscription be in favor of such subscription, then the subscriptions herein provided for shall be made and said bonds be issued.

7. The said judge shall, in like manner, submit this act to the qualified voters of said county at any subsequent general election, when thereto requested, in writing, by as many as twenty resident voters and tax-payers of said county, should not a majority of votes be cast therefor in the first submission.

§ 8. The provisions of this act shall not apply to the territory lying north of Green river in said county, nor to the citizens therein.

§ 9. This act shall take effect from and after its pas

sage.

CHAPTER 1070.

AN ACT incorporating the White Sulphur and Fisher's Mill Turnpike Road Company.

Be it enacted by the General Assembly of the Commonwealth of Kentucky:

§ 1. That any five or more persons may associate themselves together for the purpose of constructing a turnpike road from White Sulphur, in Scott county, to Edward Waite's, in Woodford county, by the way of Fisher's Mill. Said persons shall be incorporated by the name and style of the White Sulphur and Fisher's Mill Turnpike Road Company; by which name they shall sue and be sued, plead and be impleaded, in any court in this Commonwealth, and shall have perpetual succession.

§ 2. That B. J. Laughlin, James Gallahue, P. O. McManus, and Gilbert Thompson, of Scott county, and Jesse McConnell, Louis Fisher, and H. O. Davis, of Woodford county, are hereby appointed commissioners, who, or any one of them, are hereby authorized to receive subscriptions to the capital stock of said company, in shares of twenty-five dollars. When one thousand five hundred dollars is subscribed to the capital stock of said company, the stockholders are authorized to elect a president and three directors, who shall elect a treasurer and secretary, all of whom shall be stockholders Said board shall hold their office one year, or until their successors are elected and qualified.

§ 3. That the county courts of Scott and Woodford are hereby authorized to take stock in said road, not to exceed the amount per mile which said county court has the authority to subscribe by law to turnpike roads; and

said county courts are hereby authorized and empowered to levy a tax for the amount of stock which they may subscribe, and shall be collected according to the way provided by existing laws of this State.

§ 4. Said corporation shall have power to condemn the right of way, the necessary rock, gravel, dirt, wood, or other necessary material for the construction or repairs of said road, as provided by chapter one hundred and three of the Revised Statutes and amendments thereto.

5. When said road is completed, said company shall have power to establish a toll-gate, and to collect any rate of toll authorized to be collected by the Geueral Statutes.

6. This act shall be in force from its passage.

CHAPTER 1071.

AN ACT to incorporate the Dutch Fish Trap Bridge Company, and te facilitate communication between the counties of Hopkins and McLean.

Be it enacted by the General Assembly of the Commonwealth f Kentucky:

§ 1. That Samuel Croombaker, the owner of each bank of the water-course known as Pond river, at a point known as Dutch Fish Trap, and such other persons as he may associate with him, be, and they are hereby, constituted a body-politic and corporate, under the name and style of the Dutch Fish Trap Bridge Company; and by that name they shall have perpetual succession, with power to make contracts, to sue and be sued, and have and exercise all the rights, privileges, and immunities of a corporation.

§ 2. The said corporation shall have the privilege, and are incorporated for the special purpose, of constructing a bridge across the said Pond river at the point known as Dutch Fish Trap; said bridge to be constructed of such materials as the said corporation may deem proper, and being built upon trestle-work or stone abutments, at the option of said corporation: Provided, however, That the
