leading from Falmouth to Williamstown, as the company may determine; and by that name they are hereby empowered, in law and equity, to sue and be sued, to implead and be impleaded, in all the courts of law and equity, and to make, use, and have a common seal, and to alter the same at pleasure. § 2. The business of the company shall be conducted by a board of directors, composed of six (6) persons, one of whom shall be chosen president by said board, to be elected by the stockholders from their number, in such manner as the company may determine, and who shall keep a correct account of their proceedings in a book, subject at all times to the inspection of the stockholders. Said directors may make such other by-laws as are nec- By-laws. essary for the further government and control of the business of the company. § 3. When two continuous miles of said road is completed, the directors may put a toll-gate thereon, at any point they may determine; and when six miles are so completed, they may put up the second gate, and charge and receive toll thereat, not to exceed the limits contained in the general laws of the State. When toll-gate may be erected. § 4. Said company are hereby empowered to acquire, by Right of way. purchase, gift, relinquishment, deed, writ of ad quod damnum, or otherwise, the right of way for the road, upon the route adopted, and also the grounds for toll-houses, and such timber, rock quarries, &c., and hold the same, as may be necessary for making, completing, and keeping in repair said road, agreeing to pay and paying therefor a reasonable compensation. Upon the trial of the writ above named, to condemn any property for said road, the advantages and disadvantages to the person, or to the lands of the person, may be set off against each other, and also against the value of the land, or taken. Said road is not to exceed forty feet wide, the metal to be not less than fifteen (15) feet wide, and the grade to be suitable in for the same, and not to exceed three (3) degrees of elevation at any one place. § 5. The gate-keepers are not to be considered as Gate-keepers tenants of said company, because of occupancy of house County of Pen dleton may take stock. or lands by them belonging to the company; but only as occupants at the option of said president and directors; and no other notice shall be necessary for them to quit any of the lands or houses than a written order signed by the president, and delivered to such person or persons. And posting up said order on the house or houses thus occupied shall be deemed sufficient notice. And upon failure of such person or persons to quit said premises, after notice as above required, the president may, after filing a copy of said order, and an affidavit setting out the delivery of said notice to the employe, apply to, and obtain from, any justice of the peace of Pendleton county his warrant, directed to any constable or sheriff of said county; upon the reception of said warrant by said officer he shall proceed to eject such employe, or any other person or persons, who may occupy said premises at the time, and deliver the house and lands to the president of the company. § 6. The county of Pendleton is hereby empowered and authorized to take stock in said road, not to exceed the amount limited, and upon the terms provided in an act, entitled "An act to empower the county court of Pendleton county to make subscriptions to the capital stock of turnpike roads in said county," and subject to all amendments of the same. All of the capital stock shall be in shares of twenty-five (25) dollars each. The moneys arising out of said capital stock shall be, a sufficient quantity, first employed in the repairs of the road, and when the road is in good repair, to be determined by the directors, and other expenses paid, the balance to be paid the stockholders. Said shares are made transferable according to the by-laws of the company. § 7.
