cess of the specified appropriation is incurred, be used in the account or accounts where such deficiency seems unavoid· able, the intent of this provision being to make the entire one hundred one thousand dollars available for the purposes stated in said section, if, in the judgment of the State Board of Corrections and Charities and the Auditor Gen eral it is deemed advisable to make the transfer for which provision is hereby made.

SEC. 4. The several sums appropriated by the provisions of this act shall be paid out of the general fund in the State treasury to the treasurer of the State Board of Education at such times and in such amounts as the general accounting laws of the State prescribe, and the disbursing officer shall render his account to the Auditor General thereunder.

SEC. 5. The Auditor General shall incorporate in the State tax for the year nineteen hundred thirteen, the sum of one hundred ninety-one thousand dollars, and for the year nineteen hundred fourteen, the sum of ninety thousand dollars, which when collected shall be credited to the general fund to reimburse the same for the moneys hereby appropriated. This act is ordered to take immediate effect. Approved May 7, 1913.

AN ACT to prohibit misrepresentation and twisting of life insurance policies by life insurance companies, their officers, agents, or by any other person, firm, association or corporation, to provide for a hearing for persons accused of violating the law and the revocation of certificates of authority, and repealing act number one hundred eightyfive of the Public Acts of nineteen hundred seven, as amended by act number two hundred five of the Public Acts of nineteen hundred eleven.

The People of the State of Michigan enact:

SECTION 1. No life insurance company, or any officer, director, agent, broker or solicitor thereof, shall issue, circulate or use or cause or permit to be issued, circulated or used, any written or oral statement, or circular misrepre senting the terms of any policy issued or to be issued by such company, or misrepresenting the benefits or privileges promised under any such policy, or estimating the future No insurance Inducement to dividends payable under any such policy.

SEC. 2. Upon satisfactory evidence, after hearing, of a Revocation violation of any provision of this act by any life insurance company, its officers, directors, solicitors or agents, or any insurance broker, the Commissioner of Insurance shall revoke the certificate of authority or license of such offending company, its officers, directors, solicitors or agents, or any insurance broker, and no license shall be issued to such company, officers, directors, agents, solicitors or brokers, within one year from the date of the revocation of such license: Provided, however, That before any such certificate is re- Proviso. voked the commissioner shall notify the holder thereof in writing of the complaint against him, and require such person on a date named, which date shall be not less than thirty days after service of said notice, to appear for a hearing before him at the Insurance Department, and such certificate shall not be revoked until after a full hearing or an opportunity therefor has been granted as herein provided; and no such revocation shall take effect until ten days after such order has been made by the commissioner and the holder thereof notified in writing of such action, and any such order may be reviewed by the supreme court if the appeal for such review is taken within the ten days immediately following the giving of the notice of the making of said order, and pending such appeal for review such certificate of authority shall be deemed to be in full force and effect and until the final determination of such appeal, but in case the order of revocation by the commissioner is sustained the period of such revocation shall date from the time such appeal is determined. Any life insurance com- Penalty. pany, officer, agent, solicitor or broker, or any person, firm, association or corporation or the officers thereof, violating any of the provisions of this act shall upon conviction thereof be subject to pay a fine of not more than two hundred dollars for each and every violation, or imprisonment for not more than one year.

SEC. 3. Act number one hundred eighty-five of the public Act repealed. acts of nineteen hundred seven, as amended by act number two hundred five of the public acts of nineteen hundred eleven, and all laws heretofore enacted contrary to the provisions of this act are hereby repealed. AN ACT to provide for the incorporation of the grand chapter of the Order of the Eastern Star of Michigan.

The People of the State of Michigan enact:

SECTION 1. The grand chapter of the Order of the Eastern Star of Michigan may be incorporated in pursuance of this

act.

SEC. 2. The worthy grand matron, the worthy grand patron, the associate grand matron, the associate grand patron, the grand secretary and the grand treasurer, together with not less than ten past grand matrons or past grand patrons, residents of this State, and being members of the grand chapter of the Order of the Eastern Star of the State of Michigan, being desirous of becoming incorporated and having been directed so to do by the grand chapter Order of the Eastern Star of the State of Michigan, may make and execute articles of association under their hands and seals, which articles of association shall be acknowledged before some officer authorized by law to take acknowledgment of deeds and shall set forth:

First, The names of persons associating in the first instance and their place of residence;

Second, The name and location of the subordinate chapters of which they are members;

Third, The corporate name by which such association shall be known in law, and which shall be The Grand Chapter Order of the Eastern Star of Michigan, and the place of its business office;

Fourth, The object and purpose of such association, which of association. shall be to promote the general welfare of the fraternity known as the grand chapter of the Order of the Eastern Star of Michigan, and the period for which it is incorporated, not exceeding thirty years.

By-laws, rules, etc.

SEC. 3. Said corporation may make, under direction of the grand chapter, when assembled and established, all by-laws and rules for its government and the government of all subordinate chapters under the jurisdiction of the said grand chapter, relating to the business and property authorized to be done, held and conveyed by this act; and said corporation may take, hold and convey, as may be required from time to time, any real or personal estate for the purposes of its organization, and not at any time exceeding of personal estate, one hundred thousand dollars, and of real estate five hundred thousand dollars; and may also take and hold such other property in any amount or value, whether real or personal, as may be conveyed, devised or bequeathed to said corporation in trust for any Eastern Star use, purpose, organization or institution; and all real and personal estate

so held may be conveyed by deed or bill of sale in the name of the corporation, executed by the worthy grand matron, worthy grand patron and grand secretary, for the time being, and in case of real estate, acknowledged by them to be the act and deed of the corporation, or by such other person or persons as the board of directors may appoint for that purpose, with the seal of the grand chapter attached, and such conveyance so executed shall be valid and binding for all intents and purposes whatsoever: Provided, how Proviso. ever, That all property, real or personal, conveyed, devised or bequeathed to said corporation in trust for any Eastern Star use, purpose, organization or institution shall be held by such corporation and used by it in accordance with the terms of the instrument by which the same is conveyed, devised or bequeathed.

SEC. 4. A copy of said articles of association shall be filed Articles of with the Secretary of State, and thereupon the persons who association. shall have signed such articles of association, their associates and successors, shall be a body politic and corporate, by the name expressed in such articles of association, and by that name, they and their successors shall have succession, and shall be persons in the law, capable of selling, assigning, disposing, purchasing, taking, receiving, holding and enjoying, to them and their successors, estates, real and personal, of suing and being sued; and they and their successors may have a common seal, which may be changed at their pleasure.

SEC. 5. A copy of the articles of association, under the Certificate of seal of the State, duly certified according to law, shall be re- 'incorporation. ceived as prima facie evidence in all courts of this State, of

the existence and due incorporation of said corporation.

SEC. 6. The worthy grand matron, the worthy grand pat- Board of ron, the grand secretary, the grand treasurer and three past directions of grand matrons or past grand patrons to be selected by the grand chapter, one for three years, one for two years and one for one year, at the first meeting of the grand chapter; and, thereafter, annually one for three years, shall constitute the board of directors of said corporation, and any vacancy shall be filled by the board of directors until the next meeting of the grand chapter.

SEC. 7. Such corporation, when duly formed, shall have Corporation, power to institute and charter subordinate chapters of said power of, etc. Order of the Eastern Star within this State; and from time to time to make, ordain, constitute, and establish such constitution, general laws and by-laws, ordinances and regulations as the grand chapter shall judge proper for the regulation and government of such subordinate chapters, not repugnant to the laws of this State, as to them shall seem proper and necessary; and in case of violation or non-compliance with such constitution, general laws, ordinances, bylaws or regulations, to revoke and annul the charter granted

to such subordinate chapters: Provided, That the existing subordinate chapters heretofore duly chartered by the grand chapter of the Order of the Eastern Star of the State of Michigan, shall be subject to the control of the grand chapter Order of the Eastern Star of Michigan, under this act, as heretofore and in the same manner and to the same extent as those that may be hereafter instituted and chartered under this act.

SEC. S. The location of the business offices of the grand chapter Order of the Eastern Star of Michigan may be changed at any time, upon filing a written notice of such change in the office of the Secretary of State, within twenty days from the time of the change of such location, signed by the worthy grand matron, worthy grand patron and grand secretary, upon authority of the board of directors.

SEC. 9. The grand chapter Order of the Eastern Star of the ter authority, State of Michigan shall have authority and power to transfer all of its rights, powers, privileges, property, money, accounts and books of account, bonds and obligations, and contracts, actions and rights of action that it may have, by resolution of said grand chapter, at any regular session thereof, and, upon the adoption of the same the said grand chapter Order of the Eastern Star of Michigan shall become bound by the same; and shall also be bound by the laws, rules, regulations, constitution and codes and rituals and books of instruction; and the books, papers, rights, powers, privileges, property, money, accounts and books of account, bonds and obligations, contracts, actions and rights of action, shall be binding upon and belong to the said grand chapter Order of the Eastern Star of Michigan, until the same shall have been replaced or changed in accordance with the regulations of said grand chapter.

AN ACT to amend section two of act number two hundred thirty-seven of the Public Acts of eighteen hundred eightyone, entitled "An act to authorize and regulate within this State the business of plate glass, accident, employers' liability, live stock, health, burglary, steam boiler, credit, casualty and fidelity insurance, and to repeal acts numbers forty-two and seventy-two of the Public Acts of eighteen hundred seventy-seven."
